THIS AGREEMENT is entered into by and between NINGBO XIAOYUE AUTO PARTS CO., LTD., located at Ningbo, Zhejiang, China (hereinafter referred to as "XIAOYUE"), and the counterparty completing the RFQ submission (hereinafter referred to as "Partner").
The Parties hereto desire to participate in discussions, and/or information exchange regarding a possible business partnership in the field of METAL PARTS PRODUCTION, STAMPING, CNC MACHINING AND CONTRACT MANUFACTURING (the "Purpose").
Any data or information that is proprietary to the Disclosing Party and not generally known to the public, whether in tangible or intangible form, including but not limited to: 3D datasets, CAD files, .STEP/.IGS drawings, engineering specifications, tooling designs, and manufacturing protocols.
The Receiving Party shall hold the Confidential Information in strict confidence and shall not disclose any such Confidential Information to any third party without prior written consent of the Disclosing Party. The Receiving Party shall use the Confidential Information solely for the evaluated business Purpose.
This Agreement shall govern all communications between the parties. The obligations of confidentiality shall survive for a period of five (5) years from the date of initial disclosure.
The validity, construction, and performance of this Agreement shall be governed in accordance with international trade protocols and applicable commercial laws, and any disputes shall be submitted to friendly arbitration or the competent courts under mutual agreement.
